If the 105-year-old Lancs club is not sold by August 20, they may be kicked out of the league altogether.
Panjab Warriors have been trying to take over the club for more than a year.
The statement said: “This agreement reflects the willingness of both sides to compromise in the best interests of Morecambe FC, its supporters, and the wider community.
“It paves the way for continued stability and a positive future both on and off the pitch,
“Final legal documentation will now be prepared, with immediate steps being taken to inform key stakeholders, including the National League and the club’s management team.
“Both Panjab Warriors and Bond Group would like to thank all parties involved for their patience and support during this process, and we look forward to a new chapter in the club’s history.”
Last month, Morecambe owner Jason Whittingham sacked the Shrimps’ board of directors after they threatened to place the club into administration.
Morecambe MP Lizzi Collinge has raised the issue in Parliament and said: “Morecambe FC is being held hostage and it breaks my heart.”

In June the Shrimps’ players were only paid a third of their salaries.
Many have now chosen to leave the club to pay their mortgages.
One player forced to quit, midfielder Tom White, 28, said: “Morecambe Football Club is special. This institution needs to survive, and I’m praying.”
